End-User Licence Agreement

Effective October 18, 2026

1. Agreement

This Agreement is between you and Measured Growth Professional Corporation (the “Firm”) and covers your use of the Firm’s practice app (the “App”), used by the Firm’s staff and the client and prospect contacts the Firm invites. By using the App you agree to this Agreement; if you do not agree, do not use it.

2. Licence

The Firm gives you a limited, non-exclusive, non-transferable and revocable licence to use the App: staff for the Firm’s internal business, and invited contacts only to work with the Firm on the clients they have been given access to. The App is licensed, not sold, and the Firm keeps every right it does not expressly grant.

3. Users and account security

Only people the Firm invites can sign in. Keep your sign-in codes and devices to yourself; you are responsible for what happens under your account.

4. Acceptable use

Use the App only for its intended purpose. Do not copy, change, reverse-engineer or build on it except as the law allows, try to reach parts you were not given, or use it to break the law or anyone’s rights.

5. Connected services

When you connect QuickBooks or another service, you confirm you are allowed to give the Firm that access, and your agreements with Intuit and the other providers still apply. The App reads, changes and deletes QuickBooks data only when the Firm’s staff direct it. Each change is confirmed by a named member of staff before it is sent (or, for a scheduled change, when a manager sets it up), and every change is recorded in the audit log with the value before. It never voids anything, and apart from replacing a sales tax adjustment with a corrected one, it deletes only a transaction the App itself created, a bill with no payment against it, a journal entry with no sales tax on it, a bank transfer it has just recorded again as an expense on the same yes, a card or bank expense it has just recorded again as a payment of a bill on the same yes, or a CRA payment booked to the wrong place (an expense or a journal) that it has just recorded again correctly on a manager’s yes. In the Firm’s own test company, which holds only made-up data and is on its list of test companies, it may delete every transaction to start a test again. Apart from the messages the Privacy Policy lists, the App sends email on its own only when the Firm’s vendor rule says a vendor sends only a link to its bill: one fixed email the Firm approved, asking the client to download the bill and attach it. AI is optional and off by default; Anthropic does not train its models on it and keeps it for up to 30 days. The Privacy Policy is part of this Agreement and says in full what the App reads, changes and keeps: Privacy Policy.

6. Intellectual property

The App, including its software, design and content, belongs to the Firm or its licensors and is protected by intellectual property law.

7. Disclaimer

The App is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Figures it shows, such as prices and workload estimates, support decisions and are not guarantees.

8. Liability

To the fullest extent the law allows, the Firm is not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue, arising from your use of the App.

9. Termination

The Firm may suspend or end your access at any time, and your right to use the App then ends at once.

10. Changes

The Firm may update this Agreement; the effective date above shows the latest version. Using the App after a change means you accept it.

11. Governing law and contact

This Agreement is governed by the laws of Province of Ontario, Canada, without regard to conflict-of-laws rules. Questions: connect@measuredgrowthcpa.com.
